Representative office

A representative office (văn phòng đại diện) lets a foreign company establish a legal presence for market research, liaison, and oversight of contracts, but it cannot trade or earn revenue in Vietnam. It is the lowest-commitment way to put people on the ground first.

Foreign ownership

Wholly owned by the foreign parent.

Minimum capital

No charter capital. The office is funded by the parent to cover its running costs and cannot generate local income.

Best short answer

A non-revenue liaison or market-entry presence.

Good for

  • Market research and liaison
  • Overseeing suppliers, partners, or contracts
  • Testing Vietnam before forming a company

Requirements

  • Parent established abroad for at least one year
  • No income-generating activity
  • An office head and a registered address in Vietnam
