Joint-stock company
A joint-stock company (công ty cổ phần) has at least three shareholders and issues shares, which makes it the structure for raising capital, admitting investors, or eventually listing. It can be wholly foreign-owned where the activity is open.
Foreign ownership
Up to 100% where the activity is open. For listed or public companies a default foreign-ownership cap of 50% applies unless a sector rule sets a different limit.
Minimum capital
No general minimum charter capital, contributed within 90 days of the ERC. Share structure allows later capital raises and employee share plans.
Best short answer
A share company for larger ventures and future fundraising.
