Branch office

A branch (chi nhánh) is the same legal entity as its foreign parent, licensed to trade and earn income in Vietnam. Vietnam permits foreign-trader branches only in specific sectors (such as banking, law, and some others), so it is less common than an LLC.

Foreign ownership

Wholly owned by the foreign parent, which carries the liability.

Minimum capital

No fixed charter capital, but the branch must be funded to operate. The parent must usually have been established and trading for a minimum period in its home country.

Best short answer

An extension of an existing foreign company.

Good for

  • Extending an established foreign business in an eligible sector
  • Keeping one global legal entity
  • Banking, law, and other sectors where branches are allowed

Requirements

  • Parent established and trading abroad for the required period
  • A branch licence for an eligible sector
  • A branch head resident in Vietnam; the parent is liable
